Commercial License Description

To ensure the sustainable development of ESP - AI (repository address: https://github.com/wangzongming/esp-ai) and to make the products applying this project in a commercial environment more stable, a commercial license is required for this project starting from version v2.0.0.

This agreement applies to companies, organizations, or individuals (hereinafter referred to as "Licensee") who wish to use this software in a commercial environment. If you are an individual user and comply with the open - source license of this project (Apache License 2.0), you do not need to purchase a commercial license. This agreement only applies to cases where commercial rights and support are required.

1. License Grant

Upon payment of the applicable license fee, Xiaoming IO (hereinafter referred to as "Licensor") grants the Licensee the following rights:

• Commercial Use: The Licensee may use the software for commercial purposes, including but not limited to using it as part of a product, deploying it in a commercial environment, or providing commercial services.
• Modification and Distribution: The Licensee may modify the software as needed and distribute it to customers, provided that the distribution is for the purpose of providing commercial services or as part of a product.
• Information Disclosure: The authorized products will be registered on the website https://espai.fun, where they can be queried online or reported for piracy.

2. License Fee

• The unit of commercial authorization is Company Name + Product Name + Version, for example: Shenzhen XXX Company's Smart Doll V1.0 / the nth generation.
• The authorization fee is 38,00

3. Support Services

• The purchase of a commercial license does not include any technical support. Your company needs to develop products independently.

4. Intellectual Property

• The intellectual property rights and related ownership of the software belong to Xiaoming IO. The Licensee shall not infringe, delete, or modify the copyright notices or other right markings in the software.

5. Limitation of Liability

• The software is provided "as is". The Licensor makes no warranties, either express or implied, regarding the software's suitability, reliability, or any other aspects.
• The Licensor shall not be liable for any indirect, incidental, special, or punitive damages arising from the use or inability to use the software under any circumstances.

6. Agreement Term and Termination

• This agreement comes into effect on the date of payment completion and has no usage time limit, unless the Licensee violates the terms of the agreement or both parties agree to terminate it.
• After the termination of the agreement, the Licensee shall immediately stop using the software and delete all copies.

7. Dispute Resolution

• This agreement is governed by and construed in accordance with the laws of the "Copyright Law" and "Patent Law". Any disputes related to this agreement shall be resolved through friendly negotiation.

8. Amendments and Updates

• The Licensor reserves the right to update or modify this commercial license agreement at any time. For commercial licenses that have already been purchased, the modified agreement only applies to subsequent updates or new versions.
• If there are any updates or modifications to the agreement, the Licensor will notify the Licensee via email or other means.
